Senior Counsel, Commercial

About the role

The Senior Counsel, Commercial will act as a high‑performing legal business partner for Allison’s European operations. This senior lawyer will lead the negotiation, drafting and management of complex commercial agreements while aligning legal strategy with business objectives.

Key responsibilities

• Draft, review and negotiate high‑value commercial contracts such as letters of intent, memoranda of understanding, sales, procurement, services, distribution and development agreements.
• Prepare commercial and legal correspondence, settlement agreements and manage pre‑judicial disputes with customers and suppliers.
• Provide day‑to‑day legal advice on corporate, regulatory, compliance, M&A, intellectual property, environmental, anti‑bribery, privacy/GDPR and other operational matters across European regions.
• Identify, assess and mitigate legal risks, develop policies and ensure compliance.
• Oversee civil, criminal and administrative litigation and coordinate external counsel.

Required profile

• Extensive experience as a commercial lawyer with a strong track record in contract negotiation and drafting.
• Ability to work autonomously and serve as a trusted advisor to business leaders.
• Excellent attention to detail and deep understanding of commercial business models.
• Proactive approach to integrating legal strategy with commercial goals.
