Legal Counsel – Global Procurement

About the role

The Legal Counsel will join Vertiv's Global Legal Department, reporting to the Associate General Counsel – Global Legal Procurement. The role provides practical, timely legal support to the Global Procurement and Supply Chain Management functions, focusing on contract drafting, review, and compliance.

Key responsibilities

• Draft, review, and negotiate standard procurement and supply‑chain contracts, including Master Service Agreements, Purchase Orders, NDAs, Supply Agreements, Logistics Agreements, Manufacturing Agreements, and SaaS Agreements.
• Advise on supplier risk management, due‑diligence, and anti‑bribery/compliance matters such as FCPA.
• Conduct legal research and prepare summaries on supplier risk, compliance, and regulatory issues.
• Support implementation of global procurement policies and contract‑management processes.
• Maintain legal templates, playbooks, and contract records.
• Collaborate with internal business teams and external counsel to ensure timely, compliant contract execution.
• Partner with procurement and supply‑chain teams to develop legal compliance programs and stay current on relevant laws.
• Manage outside‑counsel relationships for specialized matters and proactively identify legal issues.

Required profile

• Broad experience across multiple areas of law, especially commercial transactions.
• Strong background in drafting and negotiating transaction documentation.
• Good understanding of corporate and contract‑law principles.
• Ability to manage multiple tasks, meet deadlines, and communicate effectively in a multicultural environment.
