Remote Corporate Law & M&A Expert (Freelance)

About the role

Turing is seeking a seasoned corporate law and M&A professional to help evaluate and improve AI-generated legal responses. This remote freelance role focuses on reviewing how large language models handle complex U.S. corporate legal scenarios.

Key responsibilities

• Review AI‑generated answers to corporate law and M&A hypotheticals, including merger agreements, shareholder disputes, and SEC compliance issues.
• Apply a structured legal rubric to assess issue spotting, accuracy of governance principles, and correct application of Delaware corporate law and federal securities regulations.
• Identify gaps in AI reasoning around deal structuring, representations and warranties, indemnification, and material adverse change clauses.
• Provide detailed annotations and written feedback to refine model performance.
• Collaborate with researchers and project managers to align evaluation standards.

Required profile

• Juris Doctor (J.D.) from an accredited U.S. law school and active or inactive bar admission.
• Minimum 3 years of practice in U.S. corporate law, M&A, or transactional advisory.
• Strong analytical skills in corporate governance, securities regulation, and deal execution.
• Excellent written communication and high attention to detail.
• High ethical standards; interest in AI is a plus.

Required skills

• Deep knowledge of Delaware General Corporation Law.
• Familiarity with federal securities regulations.
• Experience drafting and reviewing merger agreements and related transactional documents.
