Legal Counsel/Specialist - M&A, Regulatory and Finance

About the role

Saipem is seeking a Legal Counsel/Specialist to support M&A, regulatory and finance activities within its Global Legal Affairs function. Reporting to the M&A, Finance and Strategic Partnership Legal Assistance Manager, you will join a small team of three lawyers and work closely with internal business units on complex transactions.

Key responsibilities

• Provide legal advice on mergers, spin‑offs, acquisitions and disposals of stakes, business units or strategic assets, with a focus on cross‑border deals.
• Handle antitrust, foreign direct investment and foreign subsidies regulatory matters.
• Draft and negotiate extraordinary financing documents, including medium‑ to long‑term loan agreements and debt capital market transactions.
• Support ordinary financing operations such as unsecured credit lines, factoring, guarantees and ISDA agreements.

Required profile

• Master’s degree in Law.
• Minimum 5 years of experience in M&A, regulatory and finance law.
• Fluent English (C‑1 level).
• Preferably in‑house experience in a structured or international group and at least six months of study or work abroad.

Required skills

• Proficiency in using artificial intelligence tools for legal work.
