Legal Counsel – Commercial & Compliance (Italy/Europe)

About the role

As a Legal Counsel you will join Momentive’s regional EMEAI Legal Team, providing commercial and compliance support to business units across Italy and Europe. You will help ensure that contracts, procurement, labor relations and regulatory activities comply with local and EU law while enabling business objectives.

Key responsibilities

• Draft, review and negotiate customer, procurement and commercial contracts for sales and service teams.
• Advise regional HR on Italian labor law, collective bargaining agreements and employee‑relations matters.
• Provide guidance on data‑privacy compliance and other regulatory requirements.
• Manage corporate law matters for Italian entities, including corporate filings and governance.
• Oversee internal investigations, disputes and litigation in Italy and Europe, coordinating with external counsel.
• Monitor legal and regulatory developments and recommend proactive measures.
• Support compliance activities related to Legislative Decree 231/2001 and collaborate with the Supervisory Body (OdV).
• Deliver training on legal policies, promote a culture of compliance and align regional practices with global standards.

Required profile

• University law degree and admission to practice law in Italy.
• 3‑6 years of legal experience in Italy, preferably in a multinational corporate environment or a reputable law firm.
• Strong knowledge of Italian and European commercial and corporate law.
• Excellent communication skills in Italian and English.
• Business acumen with an understanding of financial and strategic priorities.
