Corporate Counsel

About the role

Caterpillar is seeking a motivated and experienced Corporate Counsel to join its Progress Rail Signaling (PRS) team in Pistoia, Italy. The role is part of the Law, Security & Public Policy Division and reports to the Legal Manager. You will act as the primary legal point of contact for selected projects and contractual matters, operating with a meaningful level of autonomy.

Key responsibilities

• Draft, review, revise, negotiate and advise on commercial contracts, including supply‑chain agreements.
• Provide legal counsel on third‑party relationships, covering commercial, dispute, regulatory, compliance and investigative issues.
• Collaborate with internal subject‑matter experts and senior leadership across the Legal division.
• Identify and resolve legal issues across multiple practice areas on a day‑to‑day basis.
• Support Project Management teams throughout contract execution, ensuring alignment between contractual commitments and project delivery.
• Work with Procurement to structure and define supplier agreements for goods and services.
• Lead legal aspects of supplier negotiations, ensuring consistency with Caterpillar and PRS standards and policies.

Required profile

• Law degree with relevant professional qualification.
• Significant experience in corporate or commercial law, preferably in an industrial or manufacturing environment.
• Strong analytical abilities and capacity to interpret complex legal issues.
• Ability to work independently while collaborating effectively with cross‑functional teams.
• High level of confidentiality and sound judgment on matters involving significant enterprise risk.
